1. Agreement to These Terms

These Terms and Conditions ("Terms") govern your access to and use of perpetualquest.com, related websites and landing pages operated by Perpetual Quest LLC, and any forms, assessments, calculators, guides, resources, or other features made available through them (collectively, the "Site").

By accessing or using the Site, submitting information through the Site, or otherwise interacting with our online services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.

If you are using the Site on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

2. Who We Are

The Site is operated by Perpetual Quest LLC ("Perpetual Quest," "PQ," "we," "us," or "our").

Perpetual Quest provides consulting, implementation, automation, artificial intelligence, marketing technology, software integration, operational improvement, and related professional services.

3. Website Information Is Not a Client Agreement

The Site describes our services, capabilities, methodologies, technologies, programs, pricing concepts, and potential outcomes generally. Content on the Site does not, by itself, create a consulting, agency, professional services, fiduciary, partnership, employment, or other client relationship.

A client engagement exists only when Perpetual Quest and the applicable client enter into a separate written agreement, such as a Master Services Agreement, Services Agreement, Statement of Work, Order Form, proposal expressly incorporated into an agreement, or other written contract ("Client Agreement").

Professional services provided by Perpetual Quest are generally governed by our Master Services Agreement and the applicable Statement of Work, Order Form, or other executed Client Agreement.

Unless expressly incorporated into a Client Agreement, website content, presentations, demonstrations, proposals, sales conversations, assessments, calculators, case studies, examples, implementation guides, advertisements, marketing materials, and other communications do not create independent contractual obligations.

The applicable Client Agreement governs the actual scope of work, deliverables, responsibilities, fees, payment terms, timelines, service levels, performance commitments, ownership rights, guarantees, cancellation rights, refunds, and other terms of a client engagement.

If these Terms conflict with an executed Client Agreement regarding professional services, the Client Agreement controls with respect to those services.

4. Site Use and Acceptable Use

You may use the Site only for lawful purposes and in accordance with these Terms.

You may not:

• Use the Site for fraudulent, deceptive, unlawful, or abusive purposes.
• Attempt to gain unauthorized access to the Site, our systems, accounts, infrastructure, or data.
• Interfere with, disrupt, overload, damage, or impair the Site or related systems.
• Introduce malware, malicious code, automated attacks, or harmful technologies.
• Scrape, crawl, harvest, copy, or systematically extract Site content at scale without our written permission.
• Reverse engineer, reproduce, copy, or commercially exploit our tools, assessments, frameworks, prompts, workflows, methodologies, software, or materials except as expressly authorized.
• Use Site content or proprietary materials to develop or train a competing product, service, model, dataset, or commercial offering without our written permission.
• Submit false, misleading, infringing, or unlawful information.
• Impersonate another person or misrepresent your identity, authority, or affiliation.
• Use the Site to violate the rights of Perpetual Quest or any third party.

We may restrict, suspend, or block access to the Site when we reasonably believe these Terms have been violated or when necessary to protect our systems, users, clients, or third parties.

5. Lead Forms and Communications

When you request a guide, submit an assessment, complete a quiz, request information, book a strategy call, request a callback, or otherwise contact us, you authorize us to respond to that request using the contact information you provide.

Depending on the request, we may contact you by email or telephone regarding the inquiry, appointment, requested resource, or potential business relationship.

Providing a telephone number does not, by itself, enroll you in marketing SMS messages. Marketing SMS communications require the applicable separate opt-in consent.

SMS communications are also governed by Section 6 (SMS Program) and our Privacy Policy.

6. SMS Program

If you expressly opt in to receive SMS messages from Perpetual Quest, we may send text messages relating to our services and your interactions with us.

Messages may include promotional marketing, appointment reminders, scheduling notifications, requested information, follow-up communications, guides, assessments, inquiries, and related service information.

Message frequency may vary.

Consent to receive marketing SMS messages is not a condition of purchasing services from Perpetual Quest.

To stop receiving SMS messages, reply STOP to any message. You may receive a confirmation message after opting out.

Message and data rates may apply.

Carriers are not liable for delayed or undelivered messages.

You must be 18 years of age or older to use our SMS program.

7. No Guarantee of Business or Financial Results

Perpetual Quest may publish or discuss case studies, examples, testimonials, projections, revenue figures, lead volumes, conversion rates, appointment rates, response rates, cost-per-lead figures, cost-per-acquisition figures, productivity improvements, labor savings, operational improvements, return on investment, or other performance information.

These examples reflect particular circumstances and are provided for illustrative purposes only. They are not promises or guarantees that you or any client will achieve the same or similar results.

Actual results vary and may depend on factors outside Perpetual Quest's control, including market conditions, economic conditions, customer demand, competition, advertising budgets, pricing, offers, reputation, client data, lead quality, sales performance, staffing, availability, response times, management decisions, implementation quality, third-party platforms, and the client's continued use of recommended systems and processes.

Except where expressly stated in an executed Client Agreement, Perpetual Quest does not guarantee revenue, profits, cost savings, leads, appointments, customers, sales, conversions, rankings, advertising performance, operational savings, or any other specific business outcome.

8. Guarantees and Performance Commitments

Any guarantee, refund commitment, service credit, implementation promise, performance commitment, timeline, outcome, or similar offer referenced on the Site or in marketing materials applies only if it is expressly included in an applicable Client Agreement.

Any such commitment may be subject to qualifications, eligibility requirements, client responsibilities, implementation requirements, advertising or software budgets, minimum participation requirements, deadlines, launch conditions, exclusions, or other conditions stated in the applicable Client Agreement.

Marketing language alone does not expand or modify the terms of an executed Client Agreement.

9. Calculators, Assessments, Audits, and Projections

The Site or our communications may include calculators, assessments, audits, opportunity analyses, readiness scores, forecasts, projections, estimates, simulations, recommendations, savings calculations, ROI calculations, or other analytical tools.

These outputs are illustrative and depend upon assumptions, estimates, data, and information that may be incomplete, inaccurate, hypothetical, supplied by you, or subject to change.

Such outputs are not guarantees, promises, financial forecasts, valuations, investment advice, accounting advice, legal advice, or representations of future performance.

You are responsible for independently evaluating any business decision based on these materials.

10. Artificial Intelligence and Automated Systems

Some Perpetual Quest services, demonstrations, tools, workflows, or deliverables may use artificial intelligence, machine learning, large language models, automated decision systems, generative technologies, conversational agents, or other automated technologies.

Artificial intelligence systems are probabilistic and may generate content or outputs that are inaccurate, incomplete, outdated, inconsistent, inappropriate, misleading, or unexpected.

Unless expressly agreed otherwise in a Client Agreement, AI-generated outputs should not be treated as independently verified facts, professional advice, or decisions requiring no human review.

Clients and users remain responsible for exercising appropriate judgment and human oversight before relying on AI-generated recommendations, communications, classifications, analyses, decisions, or content.

Perpetual Quest does not warrant that an AI system will produce identical results over time or that the behavior, availability, features, pricing, or performance of third-party AI models will remain unchanged.

11. Third-Party Platforms, Software, and Services

Perpetual Quest services may integrate with, rely upon, recommend, configure, or otherwise interact with third-party products and services, including software providers, artificial intelligence providers, advertising platforms, communications providers, CRM systems, scheduling systems, payment processors, analytics tools, hosting providers, APIs, social media platforms, and other technology services.

Third-party services are independently controlled and may be subject to separate terms, privacy policies, fees, limitations, and usage requirements.

Perpetual Quest does not control and is not responsible for third-party outages, downtime, errors, security incidents, data loss, account suspensions, account restrictions, policy changes, pricing changes, API changes, feature changes, deliverability issues, service limitations, or discontinuation.

Unless expressly agreed otherwise, clients are responsible for maintaining required third-party accounts, licenses, subscriptions, payment methods, permissions, credentials, and compliance with applicable third-party terms.

References to third-party products or companies do not imply endorsement, sponsorship, partnership, or affiliation unless expressly stated.

12. Client and User Responsibilities

Where you provide information, data, content, customer lists, advertising materials, instructions, credentials, intellectual property, or other materials to Perpetual Quest, you represent that you have the necessary rights and authority to provide and use those materials for the intended purpose.

You are responsible for the accuracy, legality, and completeness of information you provide.

Clients remain responsible for their own business decisions, regulatory obligations, advertising claims, offers, customer relationships, sales practices, privacy obligations, marketing permissions, employment obligations, and industry-specific compliance unless an executed Client Agreement expressly assigns a particular responsibility to Perpetual Quest.

13. Intellectual Property

The Site and its content, including our names, trademarks, service marks, logos, graphics, text, designs, layouts, software, code, documentation, assessments, prompts, workflows, frameworks, methodologies, processes, training materials, templates, systems, and other materials, are owned by or licensed to Perpetual Quest and are protected by applicable intellectual property laws.

Except as expressly permitted, you may not reproduce, distribute, modify, publish, license, sell, commercially exploit, create derivative works from, or otherwise use our intellectual property without prior written permission.

Perpetual Quest retains ownership of its pre-existing and independently developed intellectual property, including reusable frameworks, methodologies, software, libraries, templates, prompts, architectures, processes, know-how, implementation patterns, automation components, and general-purpose tools.

Ownership and licensing rights for materials specifically created during a client engagement are governed by the applicable Client Agreement.

14. Feedback

If you voluntarily provide ideas, suggestions, recommendations, comments, or other feedback regarding our services, Site, software, systems, or methodologies, you grant Perpetual Quest the right to use that feedback without restriction or compensation, provided that we do not publicly attribute confidential feedback to you without permission.

15. Fees, Payments, and Third-Party Costs

Unless expressly stated otherwise, information on the Site regarding pricing, packages, retainers, implementation fees, subscriptions, or service costs is informational and does not constitute a binding offer.

Fees, deposits, recurring charges, billing schedules, payment terms, cancellation rights, refund terms, late-payment provisions, expenses, and other financial terms for professional services are governed by the applicable Client Agreement.

Unless expressly included in a Client Agreement, third-party costs such as advertising spend, software subscriptions, telecommunications charges, hosting expenses, API usage, AI-model usage, CRM fees, domains, and other external services are separate from Perpetual Quest's fees.

16. No Professional Advice

Site content, guides, assessments, educational materials, AI-generated outputs, recommendations, and other resources are provided for general informational and business purposes.

Unless expressly stated in a separate written agreement, Perpetual Quest does not provide legal, tax, accounting, investment, medical, employment, regulatory, or other licensed professional advice.

You should consult qualified professionals when professional advice is required.

17. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE FULLEST EXTENT PERMITTED BY LAW, PERPETUAL QUEST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND RESULTS.

We do not warrant that the Site or any content will be uninterrupted, error-free, secure, complete, accurate, current, compatible with any particular system, or free from harmful components.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PERPETUAL QUEST LLC AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE SITE OR THESE TERMS.

THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, BUSINESS INTERRUPTION, LOSS OR CORRUPTION OF DATA, OR THE COST OF SUBSTITUTE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO YOUR USE OF THE SITE OR THESE TERMS WILL NOT EXCEED $100 USD.

Claims arising from professional services performed under a Client Agreement are governed by the liability provisions of that Client Agreement rather than this Site-specific limitation.

Some jurisdictions do not permit certain limitations of liability, so some portions of this section may not apply to you.

19. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Perpetual Quest LLC and its affiliates, members, managers, officers, employees, contractors, and agents from claims, liabilities, damages, losses, judgments, costs, and reasonable attorneys' fees arising from or relating to:

• Your misuse of the Site.
• Your violation of these Terms.
• Your violation of applicable law or regulation.
• Your violation of a third party's rights.
• Content, information, data, or materials you submit through the Site.
• Fraudulent, unauthorized, infringing, or unlawful conduct attributable to you.

Indemnification obligations relating to professional services are governed by the applicable Client Agreement where one exists.

20. Suspension and Termination

We may suspend, restrict, or terminate access to all or part of the Site at any time when reasonably necessary to maintain security, prevent abuse, comply with law, protect our rights or the rights of others, or address a violation of these Terms.

Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitations of liability, indemnification, and dispute provisions, will survive.

21. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles.

Unless an applicable Client Agreement provides otherwise, any dispute arising solely from or relating to the Site or these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to personal jurisdiction and venue in those courts.

Nothing in this section limits any non-waivable consumer protection or other statutory rights that apply to you under applicable law.

22. Force Majeure

Perpetual Quest will not be responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, government actions, labor disruptions, internet or telecommunications failures, utility outages, cyberattacks, third-party platform failures, widespread technology outages, acts of war or terrorism, epidemics, pandemics, or similar events.

23. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Perpetual Quest may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, financing, or transfer of the applicable business or operations.

24. Severability and Waiver

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

Our failure to enforce any provision of these Terms is not a waiver of that provision or any other right.

25. Entire Agreement for Site Use

These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and Perpetual Quest regarding use of the Site.

These Terms do not replace or supersede an executed Client Agreement governing professional services.

26. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, technology, business practices, or legal obligations.

When we make changes, we will post the revised Terms on this page and update the effective date.

Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
